Company Formation
For entrepreneurs looking to operate or relocate their investments to the Balkans, we offer end-to-end strategic consulting and process management for company formation, tax structuring (VAT/corporate tax), corporate bank-account opening, state-incentive management and market analysis. With our command of local dynamics, we ensure your operations are launched in full compliance and efficiently.
How the process works
- 01Strategic structure selection and market analysis: sector dynamics and your commercial goals are analyzed to determine the most suitable Balkan country and company type (LLC, JSC, etc.).
- 02Legal formation and registry management: drafting the articles of association, trade-registry (CRRM, etc.) registration, obtaining the tax ID and official formation procedures are coordinated with our local accredited partners.
- 03Banking and operational setup: corporate account opening at local and international banks is managed; necessary operational and technological infrastructure guidance is provided.
- 04Sustainable management and accounting support: after formation, single-point consulting for accountancy, filing, incentive management and official reporting.
Documents usually required
- Shareholder & director documents: internationally valid passport and ID documents of partners and signatories
- Registered address & declarations: official address to be registered, lease agreement or property documents
- Corporate identity draft: name alternatives, main activity codes and capital-structure declaration
- Official power-of-attorney / authorization documents: apostilled powers of attorney for procedures handled remotely
- Note: additional licenses and supporting documents may be requested depending on the ownership structure (individual/corporate) and sector.
Estimated timeline
Company registration is generally completed within a few business days to a few weeks from the complete submission of documents. The duration may vary with the registration country's trade-registry workload, power-of-attorney approval processes and local banks' corporate-account compliance procedures. Veranova Balkans optimizes all these bureaucratic stages on your behalf to keep the timeline to a minimum.
Frequently asked
Can I set up the company remotely (with a power of attorney)?+
Yes, you can complete your company formation without being physically present in the country. We prepare a clearly scoped formation power of attorney that is legally recognized in the target country (North Macedonia, Bulgaria, Serbia or Kosovo). Once this PoA is notarized and apostilled in your own country, we complete trade-registry registration, signing of the articles of association, tax-office registrations and company-seal procedures on your behalf via our local accredited solution partners and accountants. Only for bank-account opening and signature circulars may you need to make a short trip to the country or follow the bank's specific procedures, due to local banking and anti-money-laundering (AML) regulations.
What are the tax advantages of setting up a company in the Balkans?+
The Balkans is currently among the most attractive regions in Europe for foreign direct investment, with some of the lowest tax rates. Key advantages: Low corporate tax — a flat, low rate of around 10% in countries such as North Macedonia, Bulgaria and Kosovo. Undistributed-profit exemption — in some countries, 0% tax applies when profit is retained and reinvested. Advantageous access to the European market — through free-trade agreements with the EU and CEFTA memberships, you can offer your products to the European market on favorable customs terms. Low operating costs — accounting, office and labor costs are far more economical than in Western Europe, directly improving operational profitability.
